Terms and conditions of Formcase UK Ltd
Last updated: October 2026

1. Scope

  1. These terms and conditions apply to all contracts for the supply of goods between Formcase UK Ltd, 35 Lentworth Drive, Worsley, Manchester M28 3EX, United Kingdom, registered in England and Wales under company number 16308534 ("Formcase" or "we") and our customers that are concluded via this website, by email, by phone or on the basis of a Formcase quote.
  2. Customers may be consumers or businesses. A consumer is any natural person who concludes the contract mainly for private purposes; a business is anyone acting in the course of their trade or profession. Public-law legal entities, in particular school authorities, schools, universities and public bodies, are treated as businesses. Provisions that apply only to consumers or only to businesses are marked accordingly.
  3. For businesses these terms also apply to all future transactions. Deviating, conflicting or additional terms of the customer do not become part of the contract unless we expressly agree to them in writing, even if we deliver in knowledge of such terms.
  4. In public tenders and framework agreements, the terms agreed there take precedence over these terms where they differ.

2. Offers and conclusion of contract

  1. The presentation of products on this website is not a legally binding offer but an invitation to send an enquiry. No prices are shown online; with "Add to quote" you put together a non-binding quote request.
  2. In response to your request you receive an individual written quote from us (usually by email) with prices, shipping costs, delivery time and payment terms. Unless stated otherwise, our quotes are valid for 30 days.
  3. The contract is concluded when you accept the quote in writing or in text form (e.g. by email, signed quote or order quoting the quote number) and we confirm your acceptance with an order confirmation, at the latest upon delivery of the goods. For payment in advance, PayPal, credit card or Stripe, the contract may also be concluded when you complete the payment via the payment link we send you.
  4. The contract language is English. We send you the contract text (quote, order confirmation and these terms) in text form. You can view and save these terms on this page at any time.

3. Prices and shipping costs

  1. The prices stated in the quote apply. Prices for consumers include statutory VAT; prices for businesses are exclusive of VAT.
  2. Shipping costs and, where applicable, freight, installation or additional costs are shown separately in the quote.
  3. For deliveries outside the United Kingdom, additional customs duties, taxes and fees may apply, which are borne by the customer unless the quote states otherwise.

4. Payment

  1. We offer the following payment methods: invoice, payment in advance by bank transfer, PayPal, credit card and further payment methods offered via the payment service Stripe. The payment methods available in each case are stated in the quote.
  2. We offer payment on invoice in particular to schools, public authorities, public institutions and businesses; we reserve the right to carry out a credit check. Unless otherwise agreed, invoices are payable without deduction within 14 days of the invoice date.
  3. For payment in advance, we provide our bank details in the quote or order confirmation. The goods are dispatched once payment has been received.
  4. For payment via PayPal, credit card or Stripe, the payment is processed by the respective payment service provider, whose terms also apply.
  5. Businesses are in default without a reminder if they do not pay within the payment period. In case of default we charge statutory default interest. For businesses we reserve the right to claim interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
  6. You may only set off counterclaims that are legally established, undisputed, acknowledged by us or based on the same contractual relationship.

5. Delivery, delivery time and passing of risk

  1. We deliver to the delivery address given by the customer. Large items such as charging carts and charging cabinets are delivered by freight forwarder to the kerbside, unless something else (e.g. delivery to the place of use or installation) has been agreed in the quote.
  2. The delivery time is stated in the quote or order confirmation. Delivery times shown on the website refer to goods in stock and are non-binding guide values. We deliver from our UK stock or, for items not held in the UK, from our warehouse in Germany [please check].
  3. If ordered goods are not available because our supplier does not deliver to us through no fault of our own, we will inform you without delay. In this case we may withdraw from the contract; any payments already made will be refunded without delay.
  4. Partial deliveries are permitted where they are reasonable for you. You will not be charged any additional shipping costs for them.
  5. For consumers, the risk of accidental loss and accidental deterioration of the goods passes only upon handover to the customer. For businesses, the risk passes when the goods are handed over to the carrier.
  6. Businesses must check the goods on delivery for externally visible transport damage and note it on the delivery note or consignment note. This does not affect the statutory rights of consumers; however, we ask you to report transport damage as soon as possible so that we can make claims against the carrier.

6. Retention of title

  1. The goods remain our property until paid in full.
  2. For businesses, we retain title to the goods until all claims from the ongoing business relationship have been settled in full. Businesses may resell goods subject to retention of title in the ordinary course of business; they hereby assign to us all resulting claims in the amount of the invoice. We accept the assignment. The business remains authorised to collect the claims as long as it meets its payment obligations.

7. Right to cancel for consumers

Consumers have a statutory right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Details can be found in our cancellation information. Businesses, school authorities, public authorities and public institutions have no right to cancel.

8. Statutory rights in case of defects

  1. The statutory rights in case of defects apply unless otherwise stated below.
  2. Consumers: You have the statutory rights under the Consumer Rights Act 2015: goods must be as described, fit for purpose and of satisfactory quality. In particular, you can reject faulty goods within 30 days, ask for a repair or replacement, and make claims for up to six years from delivery (five years in Scotland). Nothing in these terms affects these rights.
  3. Businesses: The limitation period for claims for defects is one year from delivery of the goods. This does not apply to claims for damages under section 9. Businesses must examine the goods without delay after delivery; obvious defects must be reported in text form within seven days of delivery. In the event of defects, we will first provide subsequent performance at our discretion, either by remedying the defect (repair) or by delivering goods free from defects.
  4. In particular, natural wear of wearing parts (e.g. pencil tips, castors, padding) and the normal, use-related decrease in battery capacity are not defects.
  5. Please use our support to make a claim. To handle your request quickly, we need proof of purchase (invoice) and photos or a video showing the defect.

9. Liability

  1. We do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, under the Consumer Protection Act 1987, or for any other liability that cannot be excluded or limited by law.
  2. For consumers, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable.
  3. For businesses, our total liability under or in connection with a contract is limited to the price paid for the goods, and we are not liable for loss of profit, loss of business or indirect or consequential loss.
  4. We are not liable for the loss of data on devices that are charged, transported or stored in our products, insofar as the damage would not have occurred if the customer had backed up their data properly. Liability under paragraph 1 remains unaffected.
  5. The above limitations of liability also apply in favour of our legal representatives, employees and vicarious agents.

10. Manufacturer's warranty

In addition to the statutory rights in case of defects, Formcase GmbH as manufacturer grants a voluntary one-year manufacturer's warranty on Formcase products in accordance with our warranty conditions. In the United Kingdom, Formcase UK Ltd handles warranty claims. The warranty does not restrict your statutory rights.

11. Safety and usage information

Please observe the operating and safety instructions supplied with the products, in particular regarding the use of suitable charging cables, ventilation of chargers and charging cabinets, and the storage and handling of lithium-ion batteries. Charging carts and cabinets are intended for indoor use.

12. Disposal of electrical equipment and batteries

  1. Electrical and electronic equipment: Old equipment must not be disposed of with household waste (crossed-out wheelie bin symbol). End users can hand in old equipment free of charge at local household waste recycling centres; as a distributor we are a member of the Distributor Take Back Scheme [please check]. Before handing it in, remove any waste batteries and accumulators that are not enclosed in the equipment, as well as lamps that can be removed without damage. End users are responsible for deleting personal data on old equipment. Our registrations can be found in the company information.
  2. Batteries and accumulators: Batteries and accumulators do not belong in household waste. You are legally obliged to return them and can hand in waste batteries free of charge at public collection points, in shops or to us (please contact us first; for lithium batteries with short-circuit protection). The crossed-out wheelie bin symbol means that the battery must not be disposed of with household waste; the symbols "Hg", "Cd" or "Pb" indicate mercury, cadmium or lead.
  3. Please dispose of packaging via the recycling collections provided.

13. Dispute resolution

If you have questions or complaints, you can reach us at any time at [email protected]. We are not obliged to use an alternative dispute resolution provider.

14. Final provisions

  1. These terms and any contract are governed by the law of England and Wales. If you are a consumer living in Scotland or Northern Ireland, you can also bring proceedings in your local courts and the mandatory law of your part of the UK continues to apply.
  2. If the customer is a business, a public-law legal entity or a special fund under public law, the courts of England and Wales have exclusive jurisdiction.
  3. Should individual provisions of these terms be invalid, the validity of the remaining provisions remains unaffected.
